           About the Role
          &#xD;

           Reporting directly to the CEO, this role will provide legal and commercial advice across a broad range of matters relating to Native Title, governance, land access, agreements, commercial projects and organisational compliance. The position will work closely with the CEO, Board, external legal providers and key stakeholders to support legal strategy, manage legal risk and ensure compliance with relevant legislative and contractual obligations.

           Key Responsibilities
          &#xD;
    &lt;/span&gt;&#xD;

           Legal &amp;amp; Governance Advisory
          &#xD;
    &lt;/strong&gt;&#xD;
  &lt;/p&gt;&#xD;

      &lt;span&gt;&#xD;
        
            Provide legal advice to the CEO and Board across Native Title, governance, corporate, commercial and operational matters.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/li&gt;&#xD;
    &lt;li&gt;&#xD;
      &lt;span&gt;&#xD;
        
            Ensure organisational compliance with the Native Title Act, CATSI Act, Prescribed Bodies Corporate Regulations, contractual obligations and other relevant legislation.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/li&gt;&#xD;
    &lt;li&gt;&#xD;
      &lt;span&gt;&#xD;
        
            Support governance processes including Board matters, AGM actions, compliance obligations and risk management initiatives.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/li&gt;&#xD;
    &lt;li&gt;&#xD;
      &lt;span&gt;&#xD;
        
            Assist with development and implementation of governance frameworks, internal policies and organisational procedures.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/li&gt;&#xD;
    &lt;li&gt;&#xD;
      &lt;span&gt;&#xD;
        
            Provide commercially focused legal advice to support operational and strategic decision making.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/li&gt;&#xD;
    &lt;li&gt;&#xD;
      &lt;span&gt;&#xD;
        
            Monitor regulatory and legislative developments and advise the organisation on emerging legal and compliance risks.
           &#xD;

    &lt;/li&gt;&#xD;

  &lt;p&gt;&#xD;
    &lt;strong&gt;&#xD;
      
           Agreements, Contracts &amp;amp; Negotiations
          &#xD;
    &lt;/strong&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;ul&gt;&#xD;
    &lt;li&gt;&#xD;
      &lt;span&gt;&#xD;
        
            Draft, review and negotiate a range of agreements including land access agreements, commercial contracts, service agreements, confidentiality agreements and other legal documentation.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/li&gt;&#xD;
    &lt;li&gt;&#xD;
      &lt;span&gt;&#xD;
        
            Support negotiations with mining proponents, government bodies, external stakeholders and commercial partners.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/li&gt;&#xD;
    &lt;li&gt;&#xD;
      &lt;span&gt;&#xD;
        
            Provide legal support across commercial opportunities, partnerships and new business initiatives.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/li&gt;&#xD;
    &lt;li&gt;&#xD;
      &lt;span&gt;&#xD;
        
            Assist with contract development, interpretation and dispute management where required.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/li&gt;&#xD;
    &lt;li&gt;&#xD;
      &lt;span&gt;&#xD;
        
            Ensure compliance with ILUAs, Native Title agreements, trust deeds and related contractual obligations.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/li&gt;&#xD;

  &lt;p&gt;&#xD;
    &lt;strong&gt;&#xD;
      
           Legal Matter Management
          &#xD;
    &lt;/strong&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;ul&gt;&#xD;
    &lt;li&gt;&#xD;
      &lt;span&gt;&#xD;
        
            Coordinate and oversee external legal service providers and manage the progression of outsourced legal matters.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/li&gt;&#xD;
    &lt;li&gt;&#xD;
      &lt;span&gt;&#xD;
        
            Manage legal correspondence and maintain accurate legal records and document management systems.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/li&gt;&#xD;
    &lt;li&gt;&#xD;
      &lt;span&gt;&#xD;
        
            Oversee legal budgets and monitor external legal spend.
           &#xD;

            Prepare legal reports, briefing papers and updates for the CEO and Board.

            Develop and maintain effective working relationships with Traditional Owners, agreement partners, government agencies, legal providers and key external stakeholders.

      &lt;span&gt;&#xD;
        
            Attend meetings with agreement partners, stakeholders and external advisers as required.

            Represent the organisation professionally across negotiations, meetings and external engagements.

            Support internal governance education and legal awareness initiatives across the organisation.

           About You
          &#xD;
    &lt;/span&gt;&#xD;

           You will be an experienced legal professional with strong commercial judgement, stakeholder management capability and the ability to operate effectively within a complex and community-focused environment.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;strong&gt;&#xD;
      
           You will ideally bring:
          &#xD;
    &lt;/strong&gt;&#xD;

            Bachelor of Laws and eligibility to hold a current Australian practising certificate.

            Experience in commercial, corporate, Native Title or resources-related legal work.

            Strong contract drafting, negotiation and advisory experience.
           &#xD;

            Understanding of the Native Title Act, CATSI Act, Future Acts regime and associated governance obligations.

      &lt;span&gt;&#xD;
        
            Experience working with Aboriginal organisations, PBCs, NTRBs, government, mining or related sectors highly regarded.

      &lt;span&gt;&#xD;
        
            Strong communication and stakeholder engagement skills.
           &#xD;

            Ability to provide practical and commercially focused legal advice.

           Reporting to the CEO, the Heritage Manager will lead the protection, management and preservation of Ngarluma cultural heritage across a broad range of heritage, land access and stakeholder matters.

           Ngarluma Aboriginal Corporation (NAC) welcomes Premier Roger Cook’s and his Government’s support for the establishment of the first Ngarluma Green Energy Park on Ngarluma Country located near Karratha announced this week.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           NAC is the proponent, landholder and cultural authority leading a next‑generation clean‑energy development model that is faster, lower‑risk and positioned at the premium location for renewables in the Pilbara.
           &#xD;
      &lt;br/&gt;&#xD;
      &lt;br/&gt;&#xD;
      
           The Ngarluma Green Energy Park will enable utility‑scale solar and battery developments with a target of up to 5 GW across NAC’s Green Energy Parks portfolio. The first Park with land for up to1.2 GW is strategically located less than 5 km from Karratha, close to blue‑chip industrial demand centres on the Burrup and the NWIS , will use existing sealed roads, a drive‑in/drive‑out workforce and major transport logistics. It is the closest renewable development zone to regional demand loads and will link to a guaranteed high‑capacity substation and transmission corridor to be built and owned by APA.
           &#xD;
      &lt;br/&gt;&#xD;
      &lt;br/&gt;&#xD;
      
           NAC Director, Belinda Churnside, stated: “This is the future of clean‑energy development in the Pilbara — a Traditional Owner‑led model that protects Country, accelerates investment and delivers long-term benefits for Ngarluma people.”

           NAC’s approach cuts years off typical development timelines by unifying land access, heritage, environmental approvals, planning and commercial pathways under a single entity. With pre‑vetted land, upfront environmental approvals and heritage management and a master-planned precinct design, open to Power developers to benefit from reduced cost, reduced risk and faster time to market.

      <title>Ngarluma and Rio Tinto to progress renewable energy project</title>

           Rio Tinto and Ngarluma people have partnered together to build a solar farm on Ngaluruma Country after a memorandum of understanding was signed to explore opportunities for renewable energy projects on Country.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The project will be located next to Rio Tinto’s Yurralyi Maya Power Station near Karratha.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            ﻿
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            The project is expected to reduce carbon emissions and displace up to 11% of natural gas currently used. for generation across Rio Tinto’s mining operations across the Pilbara 
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Richard Cohen, Rio Tinto’s Managing Director of Rail, Port &amp;amp; Core Services, said we are incredibly proud to progress this project along with the Ngarluma people
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;

           Ljuba Mojovic, Ngarluma Aboriginal Corporation Chief Executive, said we are fortunate to embark on our first renewable energy project with Rio Tinto to reduce emissions and create economic opportunities for the Ngarluma People.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           "The solar farm project will enable NAC to realise sustainable revenues, increase contracting opportunities and contribute to a positive environmental impact in the Pilbara.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           "This project development is a testament to the enduring strength of our special relationship with Rio Tinto and our shared commitment to working together to create a more sustainable future."
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           It is estimated that 600MW to 700MW of renewable energy will be required by 2030 to displace the majority of gas use across Rio Tinto’s Pilbara power network, while additional renewable energy will be required to support widespread fleet electrification, which is expected after 2030.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
